You can download a Microsoft Excel 97 add-in to convert a Microsoft Excel
5.0 or 7.0 dialog sheet to a Microsoft Excel 97 UserForm. The Dialog
Converter for Microsoft Excel 97 automatically converts a dialog sheet to a
UserForm. However, it does not attach any Microsoft Visual Basic for
Applications programming code to the new UserForms.

Using the Dialog ConverterThe Dialog Converter simplifies the task of converting a Microsoft Excel 5.0 or 7.0 dialog sheet to a Microsoft Excel 97 UserForm. The conversion process creates the UserForm in the existing workbook and retains the Microsoft Excel 5.0 or 7.0 dialog sheet.NOTE: To use this add-in file, you must have Microsoft Excel 97.
